On 2 July 2010, an Application was made to the Royal Courts of Justice in London by Prudential (AN) Limited (PAN) (formerly
known as Prudential Holborn Pensions Limited), Prudential Holborn Life Limited (PHL) and The Prudential Assurance Company
Limited (PAC) for an Order under Section 111(1) of the Financial Services and Markets Act 2000 (the “Act”) approving a scheme
(the “Scheme”) providing for the transfer of the long-term insurance businesses of PAN and PHL to PAC and making ancillary
provisions in connection with the Scheme under Section 112 of the Act. Copies of the report on the terms of the Scheme prepared
by an Independent Expert in accordance with section 109(1) of the Act and of a statement setting out the terms of the Scheme
and containing a summary of the Independent Expert’s report, and a copy of the full Scheme document, may be obtained free
of charge by calling 0845 640 1000, by accessing PAC’s website, www.pru.co.uk/partviitransfer, or by request in writing to
the Customer Service Centre, Prudential, Craigforth, Stirling FK9 4UE from the date of publication of this notice until the
date on which the Application is heard by the Court.
The Application is expected to be heard at the Royal Courts of Justice, Strand, London WC2A 2LL on 27 October 2010. Any person
(including any employee of PAN, PHL or PAC) who thinks that he or she would be adversely affected by the carrying out of the
Scheme may attend the hearing and express their views either in person or by a legal representative. Anyone wishing to do
so is asked to inform the Solicitors named below in writing at least two clear days prior to the date of the hearing. It is
requested that anyone who does not intend to attend the Court hearing but wishes to make written representations about the
Scheme should address them to the Solicitors named below at least two clear days prior to the date of the hearing.
